Terms of Service

1. What You Are Purchasing

You are purchasing access to a Smartsheet-based workspace and licensed use of ATM Platform templates and reporting structures. Depending on your purchase this includes one or more of:

• Smartsheet Workspace Template — a licensed template structure for aircraft transition documentation and workflow management
• Sub-User Workspace Access — named-user access within an ATM Platform-managed Smartsheet account
• Platform Subscription — ongoing access to configured transaction workspaces for your billing period
• Transaction Pack — a pre-purchased bundle of annual workspace activations

You are purchasing a license to use these tools for your own business. You are not purchasing software, an application, or any inspection, consulting, certification, or advisory service.

2. Platform Model

Client is granted access as a user within ATM Platform's Smartsheet environment. Client does not receive ownership of or control over the underlying Smartsheet account, template structure, or platform infrastructure.

The Service is entirely dependent on Smartsheet functionality and availability. Client's use is also subject to Smartsheet's own terms of service.

3. Nature of Service

ATM Platform provides structured templates, data organization tools, and reporting workflows for aircraft transition documentation.

ATM Platform does NOT:

• perform aircraft inspections or verify maintenance records
• provide airworthiness determinations or regulatory approvals
• verify the accuracy or completeness of Client-entered data
• provide legal, financial, or technical advice of any kind

All outputs — including GO / NO-GO / GO WITH CONDITIONS assessments — are informational and organizational only. They are not technical, regulatory, or airworthiness determinations. ATM Platform does not independently evaluate or validate any data used to generate platform outputs. ATM Platform does not act as an advisor, agent, fiduciary, or representative of Client in any transaction.

4. No Reliance / Assumption of Risk

Client agrees that:

• Platform outputs are NOT authoritative and are NOT sufficient for decision-making without independent verification
• Platform outputs will NOT be used as the sole basis for any aircraft, commercial, or regulatory decision
• All decisions require independent technical, legal, and regulatory review by qualified personnel

Client expressly assumes all risk from use of the platform and any reliance on its outputs.

5. Payment and Refunds

• Subscriptions are billed in advance on the selected billing cycle and renew automatically
• No refunds once workspace access has been provisioned
• One-time template purchases: refundable within 5 days if workspace not yet accessed
• Transaction Packs: non-refundable after purchase
• Cancel any time through your Stripe customer portal before the next renewal date

ATM Platform may update pricing with 30 days notice to active subscribers.

6. IP and Template License

Client is granted a limited, non-exclusive, non-transferable license to use ATM Platform templates and workspace structures.

Client MAY:

• Use templates internally for Client's own aircraft transition operations
• Use templates on projects Client manages or conducts directly for its own clients

Client MAY NOT:

• Resell, sublicense, or distribute templates to any third party as a standalone product
• Share workspace credentials with unauthorized parties
• Build any competing aircraft transition management product based on ATM Platform structure
• Replicate, reverse-engineer, or reproduce template architecture outside the licensed workspace

All template structures, workflow logic, and report designs remain the exclusive property of Liberated Blade LLC. Purchase grants a license to use — not ownership. Unauthorized replication entitles ATM Platform to injunctive relief in addition to all other remedies.

7. User Limits

Access includes up to 10 named users per workspace unless otherwise agreed in writing. Excess usage may result in additional charges or access restriction at ATM Platform's discretion.

8. Data and Termination

• Client owns all data entered into the workspace
• On termination, workspace data is retained for 60 days
• Client may request an export in available Smartsheet formats during the retention period. ATM Platform will make commercially reasonable efforts to include Client-entered data within those export limitations.
• Exports do not include ATM Platform template structure, formulas, dashboards, or automation logic
• After 60 days, workspace data may be permanently deleted

ATM Platform may suspend or terminate access for non-payment, breach of these Terms, or misuse. ATM Platform may also suspend access immediately where continued use presents risk to platform integrity, intellectual property, or third parties.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ATM PLATFORM SHALL HAVE NO LIABILITY FOR:

• Aircraft value loss, lease disputes, return-condition claims, or maintenance costs
• Regulatory delays, grounding orders, or enforcement actions
• Transaction failure, lost deals, or lost revenue
• Damages arising from reliance on any platform output, report, or assessment
• Any indirect, incidental, special, consequential, or punitive damages

TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT PAID TO ATM PLATFORM IN THE THREE MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to defend, indemnify, and hold harmless Liberated Blade LLC and its members, officers, employees, and agents from any claims, damages, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your data — including any inaccurate, incomplete, or fraudulent entries
• Your decisions made in connection with any aircraft transaction
• Your transactions — including any claim by a counterparty or third party
• Your violation of these Terms

This obligation survives termination of this Agreement.

11. Disputes

Governed by Texas law. Disputes not resolved within 30 days of written notice will be resolved by binding JAMS arbitration in Austin, Texas. Prevailing party recovers reasonable attorneys' fees. No class actions. No jury trial.

12. No Professional Services

ATM Platform does not provide professional services of any kind, including legal, financial, accounting, engineering, aviation consulting, or regulatory compliance services. Nothing in these Terms or in any platform output creates a professional services relationship, professional duty of care, or any advisory obligation. Client should consult qualified professionals for any legal, regulatory, technical, or financial matter.

13. Modifications to Service

ATM Platform reserves the right to modify, update, or discontinue any aspect of the platform at any time, including template structures, workspace features, report formats, and workflow configurations. ATM Platform will make commercially reasonable efforts to notify active subscribers of material changes. Continued use following notice constitutes acceptance.

14. Force Majeure

ATM Platform is not liable for any delay or failure to perform resulting from causes beyond its reasonable control, including acts of God, natural disasters, pandemic, war, government action, labor disputes, internet outages, third-party platform failures (including Smartsheet and Stripe), or cyberattacks.

15. Confidentiality

ATM Platform will treat Client's aircraft transaction data and business information as confidential and will not disclose it to third parties except as required by law or to deliver the Service. Client agrees not to disclose ATM Platform's template architecture, workflow design, pricing, or system configuration to third parties. These obligations survive termination for three years.

16. Data Processing and Privacy

ATM Platform collects and processes Client contact, company, and payment information solely to deliver and administer the Service. Payment data is processed by Stripe. Aircraft transaction data is stored within Smartsheet's infrastructure. ATM Platform does not sell personal or business information to third parties. Full details are in our Privacy Policy.

17. Survival

The following provisions survive termination: Section 4 (No Reliance), Section 6 (IP and License), Section 9 (Limitation of Liability), Section 10 (Indemnification), Section 12 (No Professional Services), Section 15 (Confidentiality), and Section 16 (Data Processing). Termination does not relieve Client of payment obligations accrued prior to termination.
